Customer Terms of Service

FixDomo CUSTOMER TERMS OF SERVICE Effective Date: [DATE]
These Customer Terms of Service ("Customer Terms") govern the use of the FixDomo marketplace by customers ("Customers") who create work items, review Provider proposals, select Providers, arrange services, and use the Platform to facilitate payment for completed services.
FixDomo is operated by Cases Resolve ("FixDomo", "we", "us" or "our").
By creating an account or using FixDomo as a Customer, you agree to these Customer Terms and the FixDomo Privacy Policy.

FixDomo Is a Marketplace FixDomo is an online marketplace that connects Customers with independent service providers ("Providers"). The Platform allows Customers to: create and publish work items describing services they require; provide information, photographs and other details relating to the requested work; receive proposals or rates from multiple Providers; receive proposals from Providers who accept the Customer's stated rate, where applicable; compare Provider profiles, rates, proposals, reviews and other available information; select a Provider to perform the requested work; communicate with Providers; and facilitate payment for completed services through supported payment methods. FixDomo does not itself perform the services offered by Providers. Providers are independent service providers who offer their services through the Platform. A Provider's presence on FixDomo does not constitute an employment, partnership or agency relationship between the Provider and FixDomo. FixDomo provides the technology and marketplace infrastructure through which Customers and Providers may find and engage with one another. The Customer independently selects the Provider they wish to engage.

Customer Account Customers must provide accurate and current information when creating an account. A Customer may be required to complete identity verification before using certain Platform features or payment services. Customers are responsible for maintaining the confidentiality of their account credentials and for activity conducted through their account. Customers must not: create an account using false or misleading information; impersonate another person or business; create multiple accounts for fraudulent or abusive purposes; use FixDomo for unlawful purposes; provide materially false information in a work item; attempt to circumvent FixDomo's payment or commission procedures; or use the Platform to facilitate fraud, harassment or other unlawful activity. FixDomo may restrict or terminate access to an account where there is a reasonable basis to believe that the account has been used in violation of these Customer Terms, applicable law, or for fraudulent or abusive purposes.

Creating a Work Item A Customer may create a work item by providing information about the requested service. The Customer is responsible for providing accurate and sufficient information, including, where applicable: description of the work; location; requested date or timeframe; photographs; materials or equipment available; access requirements; proposed budget or rate; and known conditions that may affect the work. The Customer may state a proposed rate for the work. Depending on the work item, Providers may accept the Customer's stated rate or submit a different rate or proposal.

Provider Proposals and Customer Selection Providers may submit proposals in response to a Customer's work item. A proposal may include the Provider's proposed price, availability, estimated completion time, scope of work, materials, conditions or other relevant information. The Customer reviews the available proposals and independently selects the Provider they wish to engage. A Customer is not required to select the lowest-priced proposal. Once the Customer selects a Provider and confirms the transaction through the Platform, the Customer and Provider may proceed with the agreed service based on the work item, accepted proposal and any other terms agreed between them.

Changes to the Work The Customer and Provider may agree to changes to the scope of work, price, materials, timing, location, or other terms of the service directly between themselves, including in person, by phone, by message, or through the Platform. FixDomo does not require such changes to be recorded or approved through the Platform, except that any change to the total amount payable for the service must be updated through the Platform. A Provider must not perform materially different or additional work without the Customer's agreement, except where reasonably necessary to address an immediate safety issue or where otherwise permitted by applicable law. Any additional charges or changes to the agreed service are to be discussed and agreed directly between the Customer and Provider.

Provider Independence Providers are independent service providers. Providers are responsible for determining whether they are legally permitted and qualified to perform the services they offer, including obtaining any licences, permits, certifications, insurance or other authorizations required by applicable law. Customers may review information made available through the Platform regarding a Provider, including profiles, reviews, qualifications, licences or certifications where available. Customers should consider any qualifications, licences, permits or insurance that may be relevant to the particular service they request.

Payments Payment for the Provider's services is generally processed after the work has been completed. FixDomo does not charge Customers a marketplace or service commission for using the Platform. FixDomo's commission is charged to the Provider in accordance with the Provider Terms. Payments may be processed using third-party payment processors supported by FixDomo. Customers should make payments for services through the payment methods provided through FixDomo. Customers and Providers may communicate and agree on the details of the service directly, but payments processed through FixDomo must reflect the final amount agreed for the service. The amount processed through FixDomo may include: the agreed Provider service amount; and applicable taxes required by law. Applicable taxes will be calculated in accordance with applicable Canadian federal and provincial tax laws.

Pre-Payments FixDomo's standard payment process is designed for payment after completion of the service. Where a Customer and Provider voluntarily agree to an advance payment, deposit or other pre-payment directly between themselves, the terms of that arrangement are to be agreed between the Customer and Provider. Customers should use the FixDomo payment process where available and should exercise caution when making payments directly to a Provider outside the Platform.

Completion of Services The Provider is responsible for completing the agreed service. Once the work has been completed, the Customer is required to confirm completion through the Platform where such functionality is available. Payment may then be processed in accordance with the applicable transaction terms and payment processor requirements. Completion of a transaction through the Platform records the transaction for payment and marketplace purposes and does not constitute a certification of the quality or suitability of the services.

Cancellations and Refunds Because payment for the Provider's services is generally processed after the work has been completed, FixDomo does not generally charge Customers a cancellation fee for services cancelled before completion. The Customer and Provider may agree directly to cancel a service at any time before completion. The Customer and Provider may also discuss and agree directly on any refund, partial refund, adjustment, additional work or other resolution relating to a cancelled or completed service. Where a payment has already been processed through FixDomo, an agreed refund or adjustment may be facilitated through the applicable payment process where available and permitted by the payment processor and applicable law.

Service Issues and Disputes Customers and Providers should communicate directly with each other regarding any issue, disagreement or concern relating to the services, including: quality of the work; scope of work; additional work; pricing; completion; cancellation; or refunds. The Customer and Provider may agree between themselves on an appropriate resolution. If the parties require assistance communicating about an issue, either party may contact FixDomo Support. FixDomo may facilitate communication between the Customer and Provider and may request information relevant to the matter, including: photographs; messages; the original work item; the accepted proposal; receipts or invoices; information regarding the work performed; or other relevant documentation. FixDomo may assist the parties in communicating and reaching a mutually agreed resolution. FixDomo does not act as an arbitrator or determine the terms of an agreement reached between the Customer and Provider. Any refund or adjustment agreed between the Customer and Provider may be processed through the applicable payment method where available and permitted by the payment processor and applicable law. Nothing in these Customer Terms limits any rights or remedies available to a Customer or Provider under applicable law.

Fraud and Unauthorized Transactions Customers must promptly notify FixDomo if they believe that: their account has been compromised; a payment was unauthorized; fraudulent activity has occurred through their account; or another person has improperly used their account or payment information. Customers must not use FixDomo to request or arrange fraudulent, unlawful or misleading transactions. FixDomo may take reasonable measures to protect Customers, Providers and the Platform from suspected fraud, unauthorized activity or abuse.

Fees and Taxes Customers are not charged a FixDomo marketplace commission or service fee. The Provider's service price will be presented to the Customer before payment is processed. The Provider is solely responsible for determining, collecting, reporting and remitting any GST/HST or other taxes applicable to the services provided by the Provider. FixDomo's Provider commission and any applicable GST/HST on FixDomo's commission are charged separately to the Provider in accordance with the Provider Terms.

Off-Platform Transactions Customers and Providers should use the FixDomo Platform and supported payment methods for transactions initiated through FixDomo. Customers and Providers must not use the Platform for fraudulent or unlawful purposes or intentionally provide false transaction information. Where a transaction is completed outside the Platform, the parties should understand that the transaction will not be recorded through FixDomo's payment and transaction system.

Customer Responsibility for Property and Access Customers are responsible for providing Providers with safe and lawful access to the location where the work is to be performed. Customers should disclose known hazards, access restrictions, property conditions and other material information that could affect the safe performance of the work. Customers are responsible for obtaining any landlord, condominium, municipal or other permission required for the requested work unless otherwise agreed with the Provider. Customers should secure valuables, personal belongings and sensitive information before allowing a Provider access to their property.

FixDomo's Role FixDomo provides an online marketplace, communication tools and payment-related technology that facilitate transactions between Customers and independent Providers. FixDomo does not perform or supervise the services provided by Providers. The agreement concerning the actual service is between the Customer and the selected Provider. FixDomo may provide tools and information to assist Customers in reviewing Providers and proposals, but the Customer makes the final decision regarding which Provider to select.

Customer Conduct Customers agree to use FixDomo honestly and in accordance with applicable law. Customers must not: submit fraudulent work items; intentionally misrepresent the requested work; manipulate ratings or reviews; harass or threaten Providers; use FixDomo to facilitate unlawful activity; provide false payment information; or misuse the Platform or its communication features.

Reviews and Ratings Customers may be invited to rate or review Providers following a completed service. Reviews should be truthful and based on the Customer's actual experience. Customers must not submit fraudulent, misleading, threatening, discriminatory or defamatory reviews or attempt to manipulate ratings. FixDomo may remove or restrict reviews that violate these requirements or applicable law.

Suspension and Termination FixDomo may suspend or terminate access to the Platform where reasonably necessary to protect Customers, Providers, FixDomo or third parties, including where there is a reasonable basis to believe that a Customer has engaged in fraud, abuse, unlawful conduct or a material violation of these Customer Terms. Where required by applicable law, Customers retain any rights or remedies arising from suspension or termination.

Changes to the Platform and Terms FixDomo may modify, suspend or discontinue Platform features from time to time. FixDomo may update these Customer Terms by providing notice as required by applicable law. Where permitted by law, continued use of the Platform following the effective date of updated Customer Terms constitutes acceptance of the updated terms.

Governing Law These Customer Terms are governed by the laws applicable in the Province of Manitoba and the applicable laws of Canada. Any dispute will be subject to the jurisdiction of the courts or other dispute-resolution mechanisms having jurisdiction under applicable law.
