Provider Terms of Service

FixDomo PROVIDER TERMS OF SERVICE Effective Date: [DATE]
These Provider Terms of Service ("Provider Terms") govern the use of the FixDomo marketplace by independent service providers ("Providers").
FixDomo is operated by Cases Resolve ("FixDomo", "we", "us" or "our").
By creating an account or providing services through FixDomo, the Provider agrees to these Provider Terms and the FixDomo Privacy Policy.

Marketplace FixDomo is an online marketplace that connects Customers with independent service providers. FixDomo provides the technology, marketplace infrastructure, communication tools and payment-related functionality that allow Customers and Providers to find and engage with one another. FixDomo does not itself perform or supervise the services offered through the Platform. Providers are independent service providers and are responsible for the services they offer and perform. The Customer independently selects the Provider they wish to engage after reviewing available proposals, rates, profiles and other information provided through the Platform.

Creating a Provider Account Providers must provide accurate and current information when creating an account. A Provider may initially create an account without providing a Social Insurance Number ("SIN") or Business Number ("BN"), where such information is not required at the time of registration. However, where FixDomo is required to collect taxpayer identification information under Part XX of the Income Tax Act or other applicable law, the Provider must provide the information required by law when requested. FixDomo may also request information reasonably necessary for identity verification, fraud prevention, payment processing, account security or legal compliance.

Taxpayer Identification Information For an individual Provider, FixDomo may request a valid SIN where required for applicable tax reporting or other legal compliance purposes. For a business or other entity Provider, FixDomo may request the applicable CRA Business Number ("BN") or other taxpayer identification information required by applicable law. FixDomo may request such information after the Provider has completed and received payment for a qualifying service transaction or at another time when required by applicable law. The Provider's taxpayer identification information is collected and used for tax reporting, legal compliance, identity verification and other purposes disclosed in the FixDomo Privacy Policy. A SIN is not used as a general account identifier.

Required Tax Information Where FixDomo is required to collect taxpayer identification information from a Provider, the Provider must provide accurate and complete information within the time required by FixDomo or applicable law. If required information has not been provided after FixDomo has requested it, FixDomo may restrict the Provider's ability to accept new service requests or proposals until the required information has been provided and, where applicable, verified. The Platform may display: "Please provide your SIN or Business Number to continue providing services through FixDomo." The Provider may continue to access applicable account information subject to any restrictions imposed under these Provider Terms or applicable law.

Part XX Reporting Where FixDomo is a reporting platform operator under Part XX of the Income Tax Act, FixDomo may be required to collect, verify, retain and report information concerning reportable Providers to the Canada Revenue Agency ("CRA"). Such information may include, where required by applicable law: Provider name; primary address; taxpayer identification information; business information; total consideration paid or credited through the Platform; number of relevant activities or transactions; and other information required by applicable law. FixDomo may provide the Provider with information reported to the CRA within the time required by law. Providers are responsible for ensuring that information supplied to FixDomo is accurate and current.

Creating and Responding to Work Items Customers may create work items describing services they require. A Customer may state a proposed rate or budget for the requested work. Providers may, depending on the applicable work item: accept the Customer's stated rate; submit a different rate; submit a proposal containing additional terms or information; or decline to provide a proposal. A Provider's proposal may include the proposed price, availability, estimated completion time, scope of work, materials, conditions and other relevant information. The Customer reviews available proposals and independently selects the Provider. A Provider is not guaranteed to be selected for any particular work item.

Provider Proposals and Agreement When a Customer selects a Provider, the Provider and Customer may proceed with the service based on the work item, accepted proposal and other terms agreed between them. The Provider is responsible for reviewing the work item and determining whether the Provider has the qualifications, equipment, availability, licences, permits, insurance and other requirements necessary to perform the requested service. A Provider should not accept a work item where the Provider is unable or legally unauthorized to perform the requested service.

Changes to the Work The Customer and Provider may agree to changes to the scope of work, price, materials, timing, location or other terms of the service directly between themselves, including in person, by phone, by message or through the Platform. FixDomo does not require such changes to be recorded or approved through the Platform, except that any change to the total amount payable for the service must be updated through the Platform. A Provider must obtain the Customer's agreement before performing materially different or additional work, except where reasonably necessary to address an immediate safety issue or where otherwise permitted by applicable law. Additional charges or changes to the agreed service are to be discussed and agreed directly between the Customer and Provider.

Completion of Services The Provider is responsible for completing the agreed service in accordance with the terms agreed with the Customer. Once the work has been completed, the Provider may be required to confirm completion through the Platform where such functionality is available. Payment for the completed service is generally processed after completion in accordance with the applicable transaction terms and payment processor requirements. Completion recorded through the Platform confirms the transaction for payment and marketplace purposes and does not constitute a certification by FixDomo of the quality, suitability or compliance of the services.

Cancellations and Refunds Because payment for services is generally processed after completion, FixDomo does not generally charge a Provider or Customer a cancellation fee for a service cancelled before completion. The Customer and Provider may agree directly to cancel a service at any time before completion. The Customer and Provider may also discuss and agree directly on a refund, partial refund, adjustment, additional work or other resolution relating to a cancelled or completed service. A Provider who cancels a service, is unable to attend, or is unable to complete an accepted service should promptly communicate with the Customer and, where appropriate, FixDomo Support.

Service Issues and Disputes Customers and Providers should communicate directly with each other regarding issues, disagreements or concerns relating to the services, including: quality of the work; scope of work; additional work; pricing; completion; cancellation; or refunds. The Customer and Provider may agree between themselves on an appropriate resolution. If the parties require assistance communicating about an issue, either party may contact FixDomo Support. FixDomo may facilitate communication between the Customer and Provider and may request relevant information, including: photographs; messages; the original work item; the accepted proposal; receipts or invoices; information regarding the work performed; or other relevant documentation. FixDomo may assist the parties in communicating and reaching a mutually agreed resolution. FixDomo does not act as an arbitrator or determine the terms of an agreement reached between the Customer and Provider. Any refund or adjustment agreed between the Customer and Provider may be processed through the applicable payment method where available and permitted by the payment processor and applicable law. Nothing in these Provider Terms limits any rights or remedies available to a Provider or Customer under applicable law.

Payments Payment for the Provider's services is generally processed after the work has been completed. Customers are not charged a FixDomo marketplace commission or service fee. FixDomo's commission is charged to the Provider in accordance with these Provider Terms. The amount processed through FixDomo should reflect the final amount agreed between the Customer and Provider for the completed service. Payments may be processed using third-party payment processors supported by FixDomo. Providers agree to use the payment methods provided through FixDomo for transactions initiated through the Platform.

Provider Taxes The Provider is solely responsible for determining and complying with all tax obligations arising from the Provider's business and services. This includes, where applicable: income tax; GST/HST; provincial taxes; registration requirements; collection requirements; filing requirements; reporting requirements; and remittance of applicable taxes. FixDomo does not determine whether a Provider is required to register for GST/HST and does not provide tax advice. The Provider is responsible for determining whether the Provider has exceeded the applicable GST/HST small-supplier threshold and whether GST/HST registration is required. The Provider is also responsible for determining whether GST/HST or another applicable tax must be charged to Customers for the services provided.

GST/HST Registration Notifications FixDomo may provide automated informational reminders based on a Provider's earnings through FixDomo. For example, when the Provider's cumulative qualifying transaction value or earnings through FixDomo approaches a relevant internal notification threshold, the Platform may display: "Your earnings through FixDomo are approaching the CRA GST/HST small-supplier threshold. Please review your GST/HST registration obligations and update your GST/HST registration number if applicable. Please contact FixDomo Support if assistance is required." This notification is informational only and does not constitute tax advice or a determination that the Provider is required to register for GST/HST. The Provider remains responsible for determining their own GST/HST registration and reporting obligations. FixDomo will not suspend or block a Provider solely because the Provider has reached a GST/HST notification threshold or has not provided a GST/HST registration number, unless required by applicable law or a separate Platform rule.

FixDomo Commission FixDomo charges the Provider a commission on qualifying completed service transactions. The applicable commission is calculated according to the Provider's applicable commission tier. The Provider's commission is separate from any GST/HST or other taxes that the Provider may be required to charge on the Provider's services. GST/HST applicable to FixDomo's commission is charged to the Provider upfront at the same time as the commission. The commission and applicable GST/HST may be deducted from the amount payable to the Provider or charged through the applicable payment method.

Commission Tiers The standard Provider commission is: 10% - standard rate; 9% - once the Provider's cumulative qualifying completed transaction value through FixDomo exceeds $50,000; 7% - once the Provider's cumulative qualifying completed transaction value through FixDomo exceeds $100,000; 5% - once the Provider's cumulative qualifying completed transaction value through FixDomo exceeds $200,000. All commission rates are subject to applicable GST/HST, which is charged upfront at the same time as the commission. The thresholds are cumulative and are not tied to a calendar year, fiscal year, quarter, month or other reporting period. Once a Provider reaches a higher commission tier, the applicable lower commission rate will remain available to the Provider for subsequent qualifying transactions, subject to these Provider Terms and other applicable Platform Terms. The calculation is based on qualifying completed service transactions recorded through FixDomo and excludes cancelled transactions and transactions that were not completed, unless otherwise specified by FixDomo.

First Three Months For the first three (3) months beginning on the date the Provider's FixDomo account is registered, the Provider will not be charged the standard FixDomo marketplace commission on qualifying completed transactions. This introductory period applies once per Provider and is not extended or restarted by creating another account. Applicable GST/HST on FixDomo's commission, third-party payment-processing fees and other third-party charges are not waived unless expressly stated by FixDomo.

Duplicate Accounts Each Provider may maintain only one active Provider account unless FixDomo expressly authorizes otherwise. FixDomo may use identity-verification and account-security systems to detect duplicate accounts. Where the same identity information or identification document has already been associated with an existing FixDomo account, the Platform may prevent creation or verification of another Provider account associated with that identity. The Platform may display: "An account associated with this identity has already been registered on FixDomo. Duplicate Provider accounts are not permitted." FixDomo may require the Provider to contact Support if the Provider believes the duplicate-account detection was made in error.

Identity Verification and Fraud Prevention Identity information may be processed for: identity verification; prevention of duplicate accounts; fraud prevention; account security; compliance with applicable law; payment processing; and operation of the FixDomo marketplace. A SIN is not used as a general account identifier. FixDomo will handle identity and taxpayer information in accordance with its Privacy Policy and applicable law. Providers must provide accurate information and must not provide another person's SIN, BN or identification information.

Provider Qualifications and Legal Requirements Providers are responsible for determining whether they are legally permitted and qualified to perform the services they offer. Depending on the service, a Provider may be required to obtain and maintain applicable: licences; permits; certifications; insurance; registrations; professional qualifications; or other authorizations. Providers are responsible for complying with all applicable federal, provincial and municipal laws and requirements relating to their services and business activities.

Property, Access and Safety Providers are responsible for performing services in a professional and reasonably safe manner and for using appropriate equipment and practices for the services they provide. A Provider should communicate with the Customer regarding access requirements, known conditions, materials and other matters relevant to safely completing the work. A Provider should not knowingly perform work that would violate applicable law or require authorization that the Provider does not possess.

Off-Platform Transactions Providers should use the FixDomo Platform and supported payment methods for transactions initiated through FixDomo. Providers must not intentionally provide false transaction information or use the Platform to facilitate fraudulent or unlawful transactions. Where a transaction is completed outside the Platform, the transaction will not be recorded through FixDomo's payment and transaction system. Providers must not intentionally circumvent FixDomo's commission by moving a FixDomo transaction off the Platform for the purpose of avoiding applicable Platform fees.

Provider Conduct Providers agree to use FixDomo honestly and in accordance with applicable law. Providers must not: submit fraudulent proposals; intentionally misrepresent qualifications or experience; provide false pricing information; manipulate ratings or reviews; harass or threaten Customers; use FixDomo to facilitate unlawful activity; provide false payment or tax information; misuse Customer information; or misuse the Platform or its communication features.

Reviews and Ratings Customers may rate or review Providers following completed services. Providers may be permitted to respond to reviews through the Platform. Providers must not attempt to manipulate ratings, create fraudulent reviews, threaten Customers regarding reviews, or provide compensation in exchange for a particular rating unless expressly permitted by FixDomo and applicable law. FixDomo may remove or restrict reviews that violate the Platform rules or applicable law.

Customer Information and Privacy Providers may receive Customer information necessary to communicate about and perform an accepted service. Providers must use Customer information only for legitimate purposes connected with the service and must handle personal information in accordance with applicable privacy laws and the FixDomo Privacy Policy. Providers must not sell, disclose, misuse or retain Customer information for unrelated purposes.

Suspension and Termination FixDomo may restrict or suspend a Provider's ability to accept additional work where reasonably necessary to protect Customers, Providers, FixDomo or third parties, including where: required taxpayer identification information has not been provided after it has been requested; identity verification has not been completed where required; duplicate-account activity is detected; the Provider provides false information; the Provider engages in fraud; the Provider violates these Provider Terms; the Provider engages in abusive or unlawful conduct; or restriction is required for legal, security or payment-processing reasons. A Provider's GST/HST registration status or lack of a GST/HST registration number, by itself, will not result in suspension unless required by applicable law or a separate Platform rule.

Independent Tax Responsibility Nothing in these Provider Terms makes FixDomo responsible for determining, collecting or remitting taxes on behalf of a Provider unless FixDomo is specifically required to do so by law. Providers remain responsible for their own tax affairs and should obtain independent professional tax advice regarding their specific circumstances.

Changes to the Platform and Terms FixDomo may modify, suspend or discontinue Platform features from time to time. FixDomo may update these Provider Terms, commission rates, introductory offers and Platform rules by providing notice as required by applicable law. Changes will not retroactively alter commission rates already applied to completed transactions unless required by law or expressly agreed. Where permitted by law, continued use of the Platform following the effective date of updated Provider Terms constitutes acceptance of the updated terms.

Governing Law These Provider Terms are governed by the laws applicable in the Province of Manitoba and the applicable laws of Canada. Any dispute will be subject to the jurisdiction of the courts or other dispute-resolution mechanisms having jurisdiction under applicable law.
